Terms of Service

Consolly is sold in five languages. This document is published in English only: a legal text put through machine translation says something slightly different in every language, and you would have no way of knowing which version binds. Ask us about any part of it in your own language and we will answer in it.

These terms govern your use of Consolly. By creating an account you agree to them. Please read them — they are written to be understood, not to be impressive.

Consolly ("we", "us") provides this service. You can reach us at support@consolly.com.

1. What Consolly is

Consolly is software for freight consolidation and sourcing agents. It records purchases from suppliers, goods received into a warehouse, container load plans, invoices, payments and customer accounts, and it produces the documents that trade needs.

Consolly is software, sold as a monthly or yearly subscription. We do not buy, ship, store, handle or insure any goods. We are not a freight forwarder, a consolidator, a customs broker or an agent of any kind, and we are not a party to any trade you conduct using our software. Everything Consolly describes — containers, warehouses, shipments — is your business, recorded in our software.

It is business software, sold to businesses, and it is not a consumer service.

2. Your account

You must be a business, and old enough to enter a contract in your country.

You are responsible for everything done under your account, and for keeping your passwords safe. Tell us promptly if you think somebody else has got in.

You may add colleagues to your account. What they do is your responsibility.

3. Trial, subscription and payment

The free trial is seven days, gives you the whole system, and needs no card. When it ends, the account stops until a subscription starts. Nothing you entered is deleted.

Subscriptions are monthly or yearly, at the prices shown on our website when you subscribe. Prices may change; a change never affects a period you have already paid for, and we will tell you before it applies to you.

Payments are handled by Lemon Squeezy, who act as merchant of record for your purchase. Their terms apply to the payment itself, and your receipt and invoice come from them.

If payment fails, we will tell you. If it stays unpaid, access is suspended — see section 7.

Support response time depends on your plan — 2 days on Starter, 1 day on Business, same day on Agency.

4. What you may not do

Do not use Consolly to break the law, to store or move anything illegal, or to misrepresent goods, weights or values on documents that will be relied on by a customs authority, a bank or an insurer.

Do not attempt to reach another customer's data, probe or overload the service, resell access without our written agreement, or copy the software.

We may suspend an account immediately where we reasonably believe this section has been broken.

5. Your data is yours

Everything you enter — your customers, suppliers, goods, prices, photographs and documents — belongs to you. We do not sell it, and we do not use it to train anything.

We keep each customer's data separated from every other customer's, and it is enforced by the database rather than by our own good behaviour.

We can see your data only when you ask us to. Our own staff do not browse customer accounts. If you ask us for help and we need to look at something, we will ask you first.

You can export your data from within the app at any time, and you can ask us for a copy.

Our Privacy Policy explains this in full, including who else processes data on our behalf.

6. Availability

We work to keep Consolly running, and we do not promise it will never be unavailable. We do maintenance, things break, and networks fail. We do not guarantee any particular level of availability, and nothing here is a service level agreement.

We take backups. They are our protection against our own failures, not a substitute for your records.

7. Suspension and ending

You may cancel at any time. Access continues through the billing period you have already paid for. See our Refund Policy for what happens to money already paid.

We may suspend or end an account for unpaid subscription, for a breach of section 4, or where we must in order to comply with the law. Except where the law requires otherwise, we will tell you.

When an account ends, access stops. After expiry, we keep your data so you can reactivate or export it. We do not delete it automatically. You can ask us to delete it at any time, and we will. Ask us whenever you need an export.

8. What we are responsible for

Consolly is provided as it is. We do not warrant that it is free of faults or fit for a particular purpose beyond what these terms say.

We are not responsible for your trade. Consolly records figures you enter and performs arithmetic on them. Checking that an invoice, a packing list or a customs document is correct before it leaves your office is your job, not ours.

To the extent the law allows, our total liability to you for any claim is limited to what you paid us in the twelve months before it arose. We are not liable for lost profit, lost business or indirect loss.

Nothing here excludes liability that cannot lawfully be excluded.

9. Changes to these terms

We may change these terms. If a change matters, we will tell you before it takes effect. Continuing to use Consolly after that means you accept it.

10. Law

These terms are governed by the laws of Hong Kong SAR, and the courts of Hong Kong have exclusive jurisdiction.
